The deals for the X-Men and Spider-Man movie rights were made while Marvel was going through bankruptcy, and apparently the terms are unfavorable to Marvel. What I've heard is that Marvel's cut of the movie gross is small, and on top of that Fox takes a cut of merchandising. Marvel and Sony are on good terms because Sony renegotiated the deal, but Fox refuses.
