First, I'm not a Soyo fan. Second, are you sure your power supply will plug into the new board? There are a couple of types of ATX connectors now, as well as 4-pin sockets that I know none of my P3-450's have in them. A new 300W ps shouldn't cost more than $35, though.

Also, HP has brand new machines for $250 after rebate:

Choice of Sempron 3000+ or Celeron 2.8, 512M, 40G drive, CDRW, WinXP Home. I think you even get a free inkjet printer.

Yeah, I've never had good luck with the Soyos. Recently I've put out several dozen Intel MB's and they've been great. I'm personally on an Asus right now and it's Ok.

I'd have told you the same thing about the HPs but my mom and dad just bought one and I must admit it's nice. Runs well, is quiet, quite a steal for $250.

This is the power connector you need to worry about:

You should be good to go then.

My only other question would be why you going with a full gig of ram? It's Windoze for Christ's sake, unless you're gaming or editing videos it'll never use a half gig. Don't know what the price difference is, but a nice sata drive would do more for you than the extra ram.
